Conditions

Overview

The Policy on Compliance and Fairness delineates the conditions, principles, and protections for fair compliance processes and proceedings that are integral to the Agreement you enter into whenever — and wherever — you commence or continue any conduct or service relating in any way, directly or indirectly, to Publiks. Please, therefore, take the time to read what follows carefully.

I — Your Policy Agreements

— first, with respect to the Compliance and Fairness Policy you enter into via your Agreement with the Codes and Policies, you understand and agree to abide by the following:

i. Policy: Name, Nature
that the name of this Policy is the “Policy on Compliance and Fairness of Publiks Inc or The Publiks Group” (the “Compliance and Fairness Policy,” the “Compliance Policy,” and the “Fairness Policy”) and that the nature of this Policy is to serve as the policy on fair compliance processes and proceedings of Publiks Inc or The Publiks Group.
ii. Policy: Composition
that the Compliance and Fairness Policy consists of all conditions, principles, protections, and equivalent provisions for fair compliance processes and proceedings in the Codes and Policies of Publiks Inc or The Publiks Group (the “Codes and Policies” and the “Policies”) and the Publiks Conduct and Service Agreement (the “Agreement”), which therefore include, but are not limited to, those delineated below.
iii. Policy: Agreement
that you understand the Compliance and Fairness Policy to be an integral part of the Codes and Policies and the Agreement you enter into with Publiks.
iv. Policy: Consent
that your consent to the Codes and Policies and the Agreement includes your legally equivalent consent to the Compliance and Fairness Policy.
v. Policy: Duties
that your duties to the Codes and Policies and the Agreement includes your legally equivalent duties to the Compliance and Fairness Policy.
vi. Policy: Entry
that your entry into the Agreement includes your legally equivalent entry into the Compliance and Fairness Policy, and similarly occurs whenever you commence or continue any conduct or service at, by, for, in, on, with or otherwise relating to Publiks.
vii. Policy: Legally Abiding
that your attestation about your reading, understanding, consenting and agreeing to legally abide by the Codes and Policies and the Agreement includes your legally attestation about your reading, understanding, consenting and agreeing to legally abide by the Compliance and Fairness Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.
viii. Policy: Legally Binding
that your attestation about your reading, understanding, consenting and agreeing to be legally bound by the Codes and Policies and the Agreement includes your legally equivalent attestation about your reading, understanding, consenting and agreeing to be legally bound by the Compliance and Fairness Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.
ix. Policy: Knowledge
that your attestation about your awareness and acceptance of your responsibility to keep informed and update your knowledge of the Codes and Policies and the Agreement includes your legally equivalent awareness and acceptance of your responsibility to keep informed and update your knowledge of the Compliance and Fairness Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.

II — Your Policy Understandings

— second, with respect to your understandings of the Compliance and Fairness Policy, you covenant, represent, and warrant the following:

i. Understanding: Compliance, Fairness
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
ii. Understanding: Compliance, Fairness Conditions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness conditions as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
iii. Understanding: Compliance, Fairness Definitions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness definitions as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
iv. Understanding: Compliance, Fairness Practices
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness practices as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
v. Understanding: Compliance, Fairness Principles
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness principles as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you.
vi. Understanding: Compliance, Fairness Processes
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness processes as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
vii. Understanding: Compliance, Fairness Rights
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness rights as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you.
viii. Understanding: Compliance, Fairness Safeguards
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness safeguards and resulting protections as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
ix. Understanding: Compliance, Fairness Violations
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of compliance and fairness breach, diminishment, incompatibility, infringement, and violation as they are defined and provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation, to not be brought about, in any way, by you.

III — Your Policy Commitments

— third, with respect to your commitments to the Compliance and Fairness Policy, you understand and agree to abide by the following:

i. Commitment: Basis
that your commitment is the basis for any conduct or service at, by, for, in, on, with, or otherwise relating to Publiks that you commence or continue — including via any of the Products or Services, or the divisions, series, subsidiaries, or affiliates — and that any such conduct or service is free of any incompatibility with Publiks or violation of the Compliance and Fairness Policy, the Codes and Policies, or applicable law or regulation.
ii. Commitment: Compliance, Fairness
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
iii. Commitment: Compliance, Fairness Conditions
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness conditions, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
iv. Commitment: Compliance, Fairness Definitions
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness definitions, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
v. Commitment: Compliance, Fairness Principles
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness principles, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
vi. Commitment: Compliance, Fairness Processes
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness processes, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
vii. Commitment: Compliance, Fairness Rights
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness rights, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
viii. Commitment: Compliance, Fairness Safeguards
that this commitment include but not be limited to upholding for every person at Publiks the most humane, protective and respectful interpretations of compliance and fairness safeguards and resulting protections, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
ix. Commitment: Your Duty, Practices
that you respectfully assist solely via Your Duties as described in the Codes and Policies and the Compliance and Fairness Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to translate the above commitments into practices for adopting and applying policies pertaining to compliance and fairness; for adjudicating and determining compliance with the policies; and for fulfilling Publiks’s own duties pertaining to compliance and fairness, compliance and fairness conditions, compliance and fairness definitions, compliance and fairness principles, compliance and fairness processes, compliance and fairness rights, and compliance and fairness safeguards and their resulting protections, including as provided for in the Compliance and Fairness Policy, the Codes and Policies, and applicable law and regulation.
x. Commitment: Your Duty, Protections
that you also respectfully assist solely via Your Duties as described in the Codes and Policies and the Compliance and Fairness Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to develop and enforce compliance and fairness protections derived from, first, applicable law and regulation, and second, from advances in compliance and fairness that protect persons in ways that go beyond what such law and regulation currently provides.

Principles

Provision

The Policy on Compliance and Fairness requires your adherence to the conditions above and correlative conditions and principles delineated below.

A — On Compliance

Conditions for Compliance

— With respect to conditions for compliance, you understand and agree to abide by the following:

i. Conditions, Compliance
that, in addition to your Agreement, you maintain and not infringe, in any way, the ensuing conditions for compliance, which depend on the proprietary and protective nature of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.
ii. Conditions, Compliance: Administration
that the compliance administration of Publiks and Publiks Administration and the rights attendant to such compliance — as conducted solely by the Founder, Alvan Azinna Chibuzo Ikoku, and executed solely via the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iii. Conditions, Compliance: Areas
that the compliance administration of the official areas of Publiks and Publiks Administration and the rights attendant to such compliance — including that providing for and otherwise pertaining to the compliance of its official areas, offices, parts, properties, sections, and equivalent, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iv. Conditions, Compliance: Founder
that the compliance of Publiks’s Founder, Alvan Azinna Chibuzo Ikoku, and the rights attendant to such compliance — including that providing for and otherwise pertaining to the compliance of the Founder, his activities, administration, conduct and service, as executed solely by the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
v. Conditions, Compliance: Ownership
that the compliance of ownership of Publiks and Publiks Administration and the rights attendant to such compliance — including that providing for and otherwise pertaining to the compliance of interests-, share-, stake- and stock-holding, ownership, and equivalent of Publiks and Publiks Administration, solely and wholly by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vi. Conditions, Compliance: Practices
that the compliance practices of Publiks and Publiks Administration and the rights attendant to such compliance — including that providing for and otherwise pertaining to practices for ensuring the compliance of Publiks, Publiks Administration, its official entities, persons, the Founder, and its conduct and service, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vii. Conditions, Compliance: Reporting
that the compliance reporting of actual, anticipated or apparent infringement relating to Publiks and Publiks Administration and the rights attendant to such compliance — including that providing for and otherwise pertaining to the compliance adjudication and reporting of any infringement or equivalent of the Codes and Policies and applicable law and regulation, directly to and fully informing the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.

Duties for Compliance

— With respect to duties for compliance, you understand and agree to abide by the following:

i. Duty, Compliance: Activity
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an act or activity.
ii. Duty, Compliance: Agent
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an agent or party.
iii. Duty, Compliance: Arrangement
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an arrangement.
iv. Duty, Compliance: Conduct, Service
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a conduct or service.
v. Duty, Compliance: Entity, Organization
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.
vi. Duty, Compliance: Expectation
that you and Publiks have a duty to heed and not infringe, in any way, any expectation of compliance — such as in the setting of protecting and providing for adequate adjudication, application, provision, regulation, remedy, review, and revision — that is meaningful and reasonable.
vii. Duty, Compliance: Material
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a material.
viii. Duty, Compliance: Matter
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a matter.
ix. Duty, Compliance: Procedure
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a procedure, proceeding, or process.
x. Duty, Compliance: Relation
that you and Publiks have a duty to maintain and not infringe, in any way, the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a relation or relationship to an entity, office, or person.
xi. Duty, Compliance: Request
that you and Publiks have a duty to consider then not infringe, in any way, a request for compliance — such as in the setting of protecting and providing for adequate adjudication, application, provision, regulation, remedy, review, and revision — that is meaningful and reasonable.
xii. Duty, Compliance: Reporting
that your sole means of fulfilling the aforementioned duties is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of compliance, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.

Rights for Compliance

— With respect to rights for compliance, you understand and agree to abide by the following:

i. Rights, Compliance: Applicable Law
that you and Publiks do not infringe, in any way, the rights for compliance — as they pertain to protecting and providing for adequate adjudication, application, provision, regulation, remedy, review, and revision — accorded to persons by applicable law and regulation.
ii. Rights, Compliance: Civil, Fundamental
that you and Publiks do not infringe, in any way, the rights for compliance — as they pertain to protecting and providing for adequate adjudication, application, provision, regulation, remedy, review, and revision — accorded to persons by their polities.
iii. Rights, Compliance: Entity, Organization
that you and Publiks do not infringe, in any way, the hereby accorded rights for compliance of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.

Safeguards of Compliance

— With respect to safeguards for compliance, you understand and agree to abide by the following:

i. Safeguards, Compliance: Activity
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an act or activity.
ii. Safeguards, Compliance: Agent
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an agent or party.
iii. Safeguards, Compliance: Arrangement
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of an arrangement.
iv. Safeguards, Compliance: Conduct, Service
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a conduct or service.
v. Safeguards, Compliance: Entity, Organization
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.
vi. Safeguards, Compliance: Expectation
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to fulfill and safeguard an expectation of compliance that is meaningful and reasonable.
vii. Safeguards, Compliance: Material
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a material.
viii. Safeguards, Compliance: Matter
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a matter.
ix. Safeguards, Compliance: Procedure
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a procedure, proceeding, or process.
x. Safeguards, Compliance: Relation
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to safeguard the compliance administration — including adjudication, application, provision, regulation, remedy, review, and revision — of a relation or relationship to an entity, office, or person.
xi. Safeguards, Compliance: Request
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to fulfill and safeguard a request for compliance that is meaningful and reasonable.
xii. Safeguards, Compliance: Rights
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Publiks to fulfill and safeguard the aforementioned and other rights for compliance, including but not limited to those provided for in the Codes and Policies and applicable law and regulation.
xiii. Safeguards, Compliance: Reporting
that your primary means of respecting the aforementioned safeguards is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of compliance, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.

B — On Fairness

Conditions for Fairness

— With respect to conditions for fairness, you understand and agree to abide by the following:

i. Conditions, Fairness
that, in addition to your Agreement, you maintain and not infringe, in any way, the ensuing conditions for fairness, which depend on the proprietary and protective nature of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.
ii. Conditions, Fairness: Administration
that the fairness administration of Publiks and Publiks Administration and the rights attendant to such fairness — as conducted solely by the Founder, Alvan Azinna Chibuzo Ikoku, and executed solely via the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iii. Conditions, Fairness: Areas
that the fairness administration of the official areas of Publiks and Publiks Administration and the rights attendant to such fairness — including that providing for and otherwise pertaining to the fairness of its official areas, offices, parts, properties, sections, and equivalent, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iv. Conditions, Fairness: Founder
that the fairness of Publiks’s Founder, Alvan Azinna Chibuzo Ikoku, and the rights attendant to such fairness — including that providing for and otherwise pertaining to the fairness of the Founder, his activities, administration, conduct and service, as executed solely by the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
v. Conditions, Fairness: Ownership
that the fairness of ownership of Publiks and Publiks Administration and the rights attendant to such fairness — including that providing for and otherwise pertaining to the fairness of interests-, share-, stake- and stock-holding, ownership, and equivalent of Publiks and Publiks Administration, solely and wholly by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vi. Conditions, Fairness: Practices
that the fairness practices of Publiks and Publiks Administration and the rights attendant to such fairness — including that providing for and otherwise pertaining to practices for ensuring the fairness of Publiks, Publiks Administration, its official entities, persons, the Founder, and its conduct and service, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vii. Conditions, Fairness: Reporting
that the fairness reporting of actual, anticipated or apparent infringement relating to Publiks and Publiks Administration and the rights attendant to such fairness — including that providing for and otherwise pertaining to the fair adjudication and reporting of any infringement or equivalent of the Codes and Policies and applicable law and regulation, directly to and fully informing the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.

Duties for Fairness

— With respect to duties of fairness, you understand and agree to abide by the following:

i. Duty, Fairness: Activity
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of an act or activity.
ii. Duty, Fairness: Agent
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of an agent or party.
iii. Duty, Fairness: Arrangement
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of an arrangement.
iv. Duty, Fairness: Conduct, Service
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of a conduct or service.
v. Duty, Fairness: Entity, Organization
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness of Publiks — including its official entities, persons, the Founder, and Publiks Administration — as an proprietary and protective company and organization and as entities and persons of proprietary and protective administration.
vi. Duty, Fairness: Expectation
that you and Publiks have a duty to heed and not infringe, in any way, any expectation of fairness — such as in the setting of protecting and providing for adequate appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — that is meaningful and reasonable.
vii. Duty, Fairness: Material
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of a material.
viii. Duty, Fairness: Matter
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of a matter.
ix. Duty, Fairness: Procedure
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of a procedure, proceeding, or process.
x. Duty, Fairness: Relation
that you and Publiks have a duty to maintain and not infringe, in any way, the fairness administration — including appropriateness, confidentiality, due process, equitableness, proportionality, and standardization of processes and proceedings — of a relation or relationship to an entity, office, or person.
xi. Duty, Fairness: Request
